Terms of Business

The following covers the key points of our terms of business, but is not exhaustive.

1. Standard payment terms:

28 days after handover of high resolution PDF files to your printer. The high resolution PDF files remain the property of TA Design Ltd until paid for in full.

If, once started, we deem a project to have been on hold (essentially inactive) for over one month, TA Design Ltd reserves the right to invoice for work to date, for immediate payment.

If, once started, a project schedule slips by more than two months, TA Design Ltd reserves the right to institute and/or revise any stage payment schedule, as we feel to be reasonable and appropriate.

2. Ownership

All digital files created or revised by TA Design Ltd, remain the property of TA Design in perpetuity. All work remains the intellectual property of TA Design Ltd in perpetuity, unless separately agreed.

TA Design produces high resolution PDF files for the client and their printer as the final deliverable. All underlying files (e.g. InDesign, Quark, Photoshop, Illustrator) remain the property of TA Design Ltd and are not released to anyone.

We are happy to release high resolution PDFs and high resolution digital images to clients, after payment in full has been received.

3. Estimates

• Estimates valid for up to 60 days. Subject to final briefing. Exclusive of VAT.
• Exclusive of production, purchase or hire of photography or illustration. Exclusive of art direction, and additional project management, including liaising with suppliers, unless specifically stated.
• Exclusive of scanning transparencies, and repro work (e.g. clipping paths, colour matching, retouching, or producing high resolution pdfs), unless specifically stated.
• Exclusive of all other deliveries and other external production costs (e.g. couriers) which will be charged at cost.
• All other suppliers, e.g. photographers and printers, to estimate and invoice direct to the client, having a direct financial relationship with the client, and not through TA Design Ltd.
• Printers to provide final colour proofs to client for final sign off.
• Exclusive of colour lasers, and any proofs. Exclusive of travel, subsistence, and meetings after first one.

By accepting an estimate from TA Design Ltd and / or by sending information for TA Design Ltd to begin a project, a client is deemed to have accepted all the terms of business of TA Design Ltd.
